1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Happy Joker Gaming ("Company," "we," "us," or "our"), governing your access to and use of the social arcade entertainment platform located at happyjokergaming.com (the "Platform").

By accessing the Platform, clicking "I am 19 or older" on our age verification screen, creating an account, or otherwise using any feature of the Platform, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must not access or use the Platform.

We reserve the right to update, modify, or replace these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify registered users by email. Your continued use of the Platform following notice of any changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

These Terms must be read together with our Privacy Policy and Cookie Policy, which are incorporated herein by reference.

2. Nature of the Platform

Happy Joker Gaming is a free-to-use social arcade entertainment platform. The Platform provides users with access to joker-themed interactive digital arcade experiences, including but not limited to Fire Joker Inferno and other games we may introduce from time to time.

Important disclaimers regarding the nature of the Platform:

  • The Platform is provided entirely for entertainment and social enjoyment purposes.
  • No form of monetary exchange, financial transaction, or economic value is offered, implied, or attainable through use of the Platform.
  • Any scores, points, tokens, achievements, or virtual items accumulated on the Platform have no monetary value, cannot be exchanged for currency or goods of value, and cannot be transferred outside the Platform.
  • The Platform does not constitute any form of financial service, gaming service regulated by provincial gaming authorities, or activity subject to gambling regulations.
  • Success in Platform games does not predict, simulate, or reflect any form of financial outcome.

By using the Platform, you acknowledge and agree that you are accessing it solely for free social entertainment and that you have no expectation of financial gain or loss of any kind.

3. Eligibility Requirements

Access to and use of the Platform is strictly limited to individuals who meet all of the following eligibility requirements:

  • Age: You must be at least 19 years of age. This minimum age applies regardless of your province of residence and is a firm, non-negotiable requirement.
  • Location: You must be physically located in Canada at the time of accessing the Platform. The Platform is intended exclusively for Canadian residents.
  • Legal capacity: You must have the legal capacity to enter into a binding agreement under the laws of your province of residence. Individuals under legal guardianship or who lack the capacity to contract are not permitted to use the Platform.
  • Not previously banned: You must not have been previously suspended or permanently banned from the Platform by the Company.
  • Compliance: Your use of the Platform must not violate any applicable federal, provincial, or local laws or regulations.

By using the Platform, you represent and warrant that you meet all eligibility requirements set out above. We reserve the right to require documentary proof of age or identity at any time. If we discover that you do not meet these requirements, we will immediately terminate your account and access to the Platform without notice.

4. Your Account

To access certain features of the Platform, you may be required to create an account. When creating your account, you agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain and promptly update your account information to keep it accurate and complete.
  • Maintain the confidentiality of your account credentials, including your password. You are solely responsible for all activity that occurs under your account.
  • Notify us immediately at hello@happyjokergaming.com if you become aware of any unauthorized access to or use of your account.
  • Not share, sell, transfer, or sublicense your account credentials to any other person.
  • Create only one account per person. Multiple accounts are prohibited and will result in termination of all associated accounts.

We reserve the right to refuse account creation, suspend existing accounts, or terminate accounts at our sole discretion, including where we have reason to believe that the eligibility requirements of Section 3 are not met or that these Terms have been violated.

You may delete your account at any time by contacting us at hello@happyjokergaming.com. Account deletion will result in the permanent loss of all associated data, including scores, achievements, and preferences.

5. Permitted Use of the Platform

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial social entertainment purposes.

Permitted uses include:

  • Playing the arcade games available on the Platform for personal entertainment.
  • Creating and maintaining a personal user account.
  • Interacting with community features in a manner consistent with our Community Guidelines.
  • Sharing publicly available Platform content (such as scores or achievements) on social media in a manner that complies with these Terms and does not misrepresent the nature of the Platform.
  • Contacting us through the provided contact channels for support, feedback, or inquiry purposes.

This licence does not include any right to resell, sublicense, or commercially exploit the Platform or its content; to collect or harvest user data or other Platform information; to modify, adapt, reverse-engineer, or create derivative works from the Platform; or to access the Platform through automated means without our prior written permission.

6. Prohibited Conduct

The following conduct is strictly prohibited on the Platform. Violation of any of these prohibitions may result in immediate account termination and, where applicable, legal action:

  • Using the Platform if you do not meet the eligibility requirements set out in Section 3.
  • Providing false, misleading, or fraudulent information during registration or any subsequent interaction with us.
  • Attempting to access, probe, or test the security or vulnerability of the Platform without our explicit written authorization.
  • Attempting to circumvent, disable, or interfere with any security features, age verification systems, or access controls on the Platform.
  • Using automated tools, bots, scrapers, or scripts to access, interact with, or harvest data from the Platform.
  • Uploading or transmitting any viruses, malware, or other harmful code to the Platform.
  • Engaging in any conduct that harasses, intimidates, threatens, or harms other users.
  • Posting or transmitting content that is unlawful, defamatory, discriminatory, obscene, or otherwise objectionable.
  • Impersonating any person, company, or entity, including Company employees or other users.
  • Attempting to exploit the Platform to generate, simulate, or claim any economic value.
  • Facilitating or encouraging any other person to engage in prohibited conduct.
  • Violating any applicable federal, provincial, or local law or regulation in connection with your use of the Platform.

7. Intellectual Property

All content, features, and functionality on the Platform — including but not limited to text, graphics, logos, game designs, animations, sounds, software, and the overall "look and feel" of the Platform — are owned by Happy Joker Gaming or our licensors and are protected by Canadian copyright, trademark, and other intellectual property laws.

The name "Happy Joker Gaming," the 🃏 joker device, and all associated branding are proprietary to the Company. You may not use our name, logos, or branding without our prior written consent.

Nothing in these Terms grants you any right, title, or interest in the Platform or its content beyond the limited use licence described in Section 5. All rights not expressly granted are reserved by the Company.

8. Virtual Items, Scores & Platform Currency

The Platform may feature virtual items, points, tokens, scores, levels, achievements, and similar virtual constructs (collectively, "Virtual Items"). You acknowledge and agree that:

  • All Virtual Items are fictional constructs existing solely within the Platform environment and are provided for entertainment purposes only.
  • Virtual Items have no monetary value of any kind and do not represent any ownership interest, claim to assets, or right to receive any compensation.
  • Virtual Items cannot be exchanged, sold, transferred, redeemed, or converted into real-world currency, goods, or services — whether within or outside the Platform.
  • Virtual Items may be modified, reset, or removed by the Company at any time without notice, for any reason, including platform updates, technical issues, or account termination.
  • Any accumulation of Virtual Items does not constitute a vested right, and the Company owes no compensation for any loss of Virtual Items under any circumstances.

These provisions exist to clearly establish the entertainment-only nature of the Platform and to ensure full compliance with applicable Canadian law regarding entertainment platforms.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • Warranties that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components;
  • Warranties regarding the accuracy, completeness, or reliability of any content on the Platform;
  • Warranties that the Platform will meet your requirements or expectations.

Some provinces do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you depending on your province of residence. In such cases, our liability is limited to the minimum extent permitted by applicable law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN AND ONTARIO LAW, IN NO EVENT SHALL HAPPY JOKER GAMING, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In any event, our aggregate liability to you for all claims arising out of or related to your use of the Platform shall not exceed the greater of: (a) the total amounts paid by you to us in the twelve months preceding the claim (which, given the free nature of the Platform, would be zero); or (b) one hundred Canadian dollars (CAD $100.00).

The limitations in this section reflect a fair allocation of risk between the parties. The Company would not have made the Platform available to you without these limitations. Nothing in this section limits liability for fraud, fraudulent misrepresentation, or death or personal injury caused by our negligence, which cannot be excluded under applicable law.

11. Suspension & Termination

We reserve the right, in our sole discretion, to suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:

  • Violation of any provision of these Terms;
  • Failure to meet or maintain the eligibility requirements;
  • Engaging in prohibited conduct as described in Section 6;
  • Providing false or misleading information;
  • Actions that we believe may harm other users, the Platform, or the Company's reputation;
  • Any reason we deem appropriate in our sole and absolute discretion.

Upon termination, your licence to use the Platform immediately ceases, and you must stop all use of the Platform. All provisions of these Terms that by their nature should survive termination shall survive, including provisions relating to intellectual property, disclaimers, limitation of liability, and governing law.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada. You hereby irrevocably consent to the personal jurisdiction of such courts for this purpose.

Before initiating any legal proceeding, you agree to first contact us at legal@happyjokergaming.com and provide us with a written description of your dispute. We will make good-faith efforts to resolve the dispute informally within 30 days of receiving your notice.

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms constitute the entire agreement between you and the Company regarding your use of the Platform and supersede all prior agreements, representations, and understandings.
